BOLTBILLS END USER LICENSE AGREEMENT (EULA)

IMPORTANT:
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. BY CLICKING “I AGREE”, INSTALLING, OR USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT, DO NOT INSTALL OR USE THE SOFTWARE.

1. Definitions

“Software” means the BoltBills desktop application, any updates, documentation, and related materials provided by BoltBills Technologies.
“You” / “Licensee” means the person or entity that installs or uses the Software.
“Device” means a single Windows computer owned or controlled by You.
“Subscription” means a time-limited right to access paid features of the Software subject to payment of recurring fees.
“Estimates” means any document, record, bill draft, or ledger entry created using the Software.

2. License Grant & Scope

Subject to this EULA and timely payment of applicable fees, BoltBills Technologies grants You a personal, limited, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Software on a single Device for Your internal business use. All rights not expressly granted are reserved by BoltBills Technologies.

2.1 Device Limit & Transfer

Use is limited to one Device per purchased license/active Subscription. You may request a transfer to a replacement Device subject to BoltBills Technologies’ verification and anti-fraud checks. Concurrent use on multiple Devices requires additional licenses/subscriptions.

2.2 Trials

If offered, trial access is time-limited and may restrict features. BoltBills may disable a trial or require Activation at any time.

3. Subscription, Activation & Internet Requirements

Paid features may require an active Subscription and periodic Activation checks.

Activation: The Software may validate Your license/Subscription using internet-based checks. You agree not to circumvent or tamper with Activation.
Connectivity: Limited offline use may be permitted, but the Software may require periodic internet connectivity to refresh license status. Excessive offline use or detectable clock tampering may limit or block access.

4. Data Storage, Backups & Your Responsibilities

Local Storage: Your business data (e.g., estimates, item lists, ledger entries, settings) is stored locally on Your Device in Your Windows user profile (e.g., AppData).
Backups: You are solely responsible for backing up Your data. BoltBills Technologies is not responsible for data loss or corruption arising from device failure, user actions, or third-party factors.
Exports/Imports: Exports, backups, or migrations You perform are at Your discretion. Ensure You comply with applicable privacy, tax, and record-keeping laws.

WE ARE NOT RESPONSIBLE FOR DATA LOSS. PLEASE KEEP A BACKUP.

5. Acceptable Use & Restrictions

You shall not: (a) reverse engineer, decompile, or disassemble the Software; (b) modify, adapt, or create derivative works; (c) remove trademarks or copyright notices; (d) resell, rent, or lease the Software; (e) use the Software for unlawful purposes, including tax evasion or fraud; (f) circumvent license management or security mechanisms.

6. Nature of Software (Estimate Tool Only)

6.1 No Professional Advice / Non-GST Nature

You acknowledge that the Software is strictly a DOCUMENTATION AND ESTIMATION TOOL. It is NOT a "Tax Compliant" accounting solution. Documents generated are "Estimates" or "Drafts" only.

User Responsibility: You are solely responsible for checking the accuracy of any template used and ensuring that any document you issue to third parties complies with local tax laws (including GST).
No Tax Advice: BoltBills Technologies is not a Chartered Accountant or Tax Consultant. The Software does not verify the legality of tax rates, HSN codes, or calculations applied by You. Any tax evasion, misreporting, or non-compliance resulting from the use of this Software is strictly Your liability.

6.2 Third-Party Components

The Software may interoperate with third-party services or open-source components. Such components are governed by their respective terms. Use of third-party services may require internet access.

7. Updates & Changes

BoltBills Technologies may provide updates, patches, or new versions. Updates may add, modify, or remove features. Continued use after an update constitutes Your acceptance of the then-current EULA.

9. Fees, Taxes & Refunds

Subscription fees are payable in the currency and schedule presented at purchase. Prices are exclusive of taxes; You are responsible for applicable taxes. No refunds are offered once Activation or Subscription has begun, except as required by law.

10. Privacy

Use of the Software may involve processing of personal data. Please refer to our Privacy Policy regarding how data is collected and used.

11. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH NO WARRANTIES OF ANY KIND.

SPECIFIC DISCLAIMER ON CALCULATIONS:

BoltBills does not guarantee the accuracy of mathematical calculations, tax summaries, or grand totals, which may be affected by rounding errors, bugs, or user configuration. YOU AGREE TO VERIFY ALL FIGURES MANUALLY BEFORE ISSUING ANY DOCUMENT. Reliance on any calculation generated by the Software is at Your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BOLTBILLS TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. BOLTBILLS’ AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR INR ₹0 IF NO AMOUNTS WERE PAID).

13. Indemnity

You agree to defend, indemnify, and hold harmless BoltBills Technologies from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your misuse of the Software;
Your violation of this EULA;
Your violation of any tax or statutory regulations (including GST evasion or fraud);
Infringement of third-party rights.

14. Term & Termination

This EULA is effective upon installation/use and continues until terminated. BoltBills may terminate this EULA immediately if You breach its terms. Upon termination, You must uninstall the Software and delete all copies.

15. Export & Sanctions Compliance

You represent that You are not located in any country subject to export embargoes or sanctions applicable to India or the jurisdictions where BoltBills operates.

16. Governing Law & Dispute Resolution

This EULA is governed by the laws of India. The courts located in Bareilly, Uttar Pradesh, India shall have exclusive jurisdiction.

17. Miscellaneous

This EULA constitutes the entire agreement between the parties regarding the Software. If any provision is found unenforceable, the remainder will remain in full force. Failure to enforce any right is not a waiver.
